1.《中华人民共和国民法典》颁布

1.Civil Code of the People’s Republic of China Promulgated

2020年5月28日,十三届全国人大三次会议表决通过了《中华人民共和国民法典》,这部法律自2021年1月1日起施行。

On May 28, 2020, the Civil Code of the People’s Republic of China was adopted at the Third Session of the Thirteenth National People’s Congress, effective from January 1, 2021.

民法典共7编、1260条,各编依次为总则、物权、合同、人格权、婚姻家庭、继承、侵权责任和附则,婚姻法、继承法、民法通则、收养法、担保法、合同法、物权法、侵权责任法、民法总则同时废止。

The Civil Code consists of 1,260 articles in seven parts, namely, general provisions, real rights, contracts, personality right, marriage and family, inheritance, and tort liabilities, as well as supplementary provisions. The Marriage Law, the Succession Law, the General Principles of the Civil Law, the Adoption Law, the Guarantee Law, the Contract Law, the Property Law, the Tort Law, and the General Provisions of the Civil Law should be concurrently repealed.

2.《关于保险资金投资银行资本补充债券有关事项的通知》发布

2.Newly Revised Notice of Issues Concerning Investment of Insurance Funds in Banks' Capital Replenishment Bonds Issued

近日,银保监会对《关于保险资金投资银行资本补充债券有关事项的通知》进行了修订,并发布实施新一版《关于保险资金投资银行资本补充债券有关事项的通知》。

Recently, the China Banking and Insurance Regulatory Commission (CBIRC) revised the Notice of Issues Concerning the Investment of Insurance Funds in Banks' Capital Replenishment Bonds, and issued a new version.

新版《通知》主要内容包括:一是放宽保险资金投资的资本补充债券发行人条件。二是取消可投债券的外部信用等级要求。三是明确保险机构信用风险管理能力应当达到银保监会规定的标准,并且上季度末偿付能力充足率不得低于120%。四是要求保险机构按照发行人对资本补充债券权益工具或者债务工具的分类,相应确认为保险机构的权益类资产或者固定收益类资产,并纳入相应监管比例管理

The new Notice mainly contains the following provisions: first, the conditions for issuers of capital replenishment bonds for the investment of insurance funds are relaxed. Second, external credit rating requirements for investable bonds are eliminated. Third, the credit risk management capabilities of insurance institutions should meet the standards set by CBIRC, and the solvency adequacy ratio at the end of the last quarter should be no less than 120%. Fourth, insurance institutions are required to recognize the equity assets or fixed-income assets of insurance institutions according to issuers’ classification of equity instruments for capital replenishment bonds or debt instruments, which should be included in the corresponding regulatory proportion management.

3.证监会发布《关于修改<证券公司次级债管理规定>的决定》


3.CSRC Issues the Decision on Amending the Provisions for the Administration of Subordinated Debts of Securities Companies

6月1日,证监会发布《关于修改<证券公司次级债管理规定>的决定》,自发布之日起施行。

On June 1, 2020, the China Securities Regulatory Commission (CSRC) issued the Decision on Amending the Provisions for the Administration of Subordinated Debts of Securities Companies, effective from the date of issuance.

此次修改主要包括以下内容:一是允许证券公司公开发行次级债券。二是为证券公司发行减记债等其他债券品种预留空间。三是统一法规适用。将规定中机构投资者定义统一至《证券期货投资者适当性管理办法》要求,将次级债券销售相关要求按照《公司债券发行与交易管理办法》进行调整。四是增加《国务院办公厅关于贯彻实施修订后的证券法有关工作的通知》《公司债券发行与交易管理办法》等作为上位法依据

The Amendments include the following aspects: First, securities companies can publicly issue subordinated bonds. Second, the amendments reserve a space for securities companies to issue write-off bonds and other types of bonds. Third, unified laws and regulations should prevail. Institutional investors are defined in alignment with the provisions of the Measures for the Suitability Management of Securities and Futures Investors, and the relevant requirements for selling subordinated bonds are adjusted in accordance with the Measures for the Issue and Trading of Corporate Bonds. Fourth, the Decision adds the Notice by the General Office of the State Council of the Work concerning the Implementation of the Amended Securities Law, and the Measures for the Issue and Trading of Corporate Bonds, among others, as the basis of the superior law.


4.央行等八部门出台指导意见强化中小微企业金融服务


4.Guiding Opinions Issued to Strengthen Financial Services for Micro, Small and Medium-sized Enterprises

6月2日,中国人民银行会同银保监会、国家发展改革委、工业和信息化部、财政部、市场监管总局、证监会、外汇局出台《关于进一步强化中小微企业金融服务的指导意见》。意见要求,全国性银行要合理让利,确保中小微企业贷款覆盖面明显扩大,综合融资成本明显下降。意见表示将进一步放宽普惠型小微企业不良贷款容忍度,还就完善金融机构绩效考核和发挥融资担保作用等方面提出了措施。此外,意见还明确要发挥多层次资本市场融资支持作用。释放更多资源用于支持小微企业贷款。支持符合条件的中小企业上市融资,加快推进创业板改革并试点注册制。

On June 2, 2020, the People’s Bank of China, in conjunction with the China Banking and Insurance Regulatory Commission, the National Development and Reform Commission, the Ministry of Industry and Information Technology, the Ministry of Finance, the State Administration for Market Regulation, the China Securities Regulatory Commission, and the State Administration of Foreign Exchange, issued the Guiding Opinions on Further Strengthening the Financial Services for Micro, Small and Medium-sized Enterprises.
According to the Opinions, national banks should reasonably surrender their profits in order to significantly expand the coverage of loans to micro, small and medium-sized enterprises while also reducing overall financing costs. The Opinions urge further relaxation of the tolerance of non-performing inclusive loans of micro and small-sized enterprises, and also put forward specific measures for improving the performance evaluation of financial institutions and fully utilizing the role of financing guarantees. In addition, the role of multi-level capital market financing support is clarified. More resources should be freed up to support the loans of micro and small-sized enterprises. The Opinions call on more efforts to be made to support eligible enterprises going public for financing and to accelerate the implementation of ChiNext reform and pilot registration-based IPO system.

5.九部门发文:发现这九类侵害未成年人情形应当报告


5.Nine Departments Require that Nine Types of Violations against Minors Should Be Reported

近日,最高检等九部门印发《关于建立侵害未成年人案件强制报告制度的意见(试行)》。

Recently, the Supreme People's Procuratorate (SPP) and eight other departments issued the Opinions on Establishing a Mandatory Reporting System for Cases regarding Violations against Minors (Trial).

《意见》明确国家机关、法律法规授权行使公权力的各类组织及法律规定的公职人员,密切接触未成年人行业的各类组织及其从业人员对侵害未成年人案件有报告的义务,规定了性侵、虐待、欺凌、拐卖等九类应当报告情形,对于发现这些情形的,相关责任主体应当报告。为了及时制止犯罪,有效保护未成年人合法权益,规定发现“疑似”情形的也要报告。主要内容有:一是明确报告义务主体,以强化责任。二是明确应当报告情形,便于准确把握。三是规定了报告过程中的注意事项,为下一步及时准确处理案件创造有利条件。四是对公安机关的查处和检察机关的监督工作进行了规范,确保及时依法处理控告和举报。五是规定在报告、处置过程中注意保护救助未成年被害人。六是强化履责保障。七是建立制度落实的督促和追责机制

The Opinions clarify that state organs, various organizations authorized by laws and regulations to exercise public power, public officials prescribed by laws, various organizations in close contact with minor industries and their employees should have an obligation to report cases regarding violations against minors, providing that the relevant responsible entities should report these nine categories of cases, such as sexual assault, abuse, bullying and trafficking, among others. In addition, suspicious situations should also be reported in order to stop crimes in time and effectively protect the legitimate rights and interests of minors. The Opinions contain the following: first, subjects with obligations of reporting are specified to strengthen responsibilities. Second, the situations to be reported are detailed to accurately grasp them. Third, the precautions in the reporting process are regulated so as to create favorable conditions for the next step of dealing with cases in a timely and accurate manner. Fourth, the investigation of public security organs and the supervision of procuratorial organs are provided to ensure that complaints and reports are handled in a timely manner according to law. Fifth, it is required that minor victims should be protected and rescued during the process of reporting or dealing. Sixth, guarantees for performance of duty are strengthened. Seventh, a supervision and accountability mechanism for system implementation is established.
