1. 合作背景
COOPERAION BACK GROUND
鉴于甲方在中国天气领域处于领先地位，尤其在天然气集输处理及甜化方面的经验和业绩；
Whereas PARTY A is in the leading position in the gas industry of China and has, in particular, experience and track record in the areas of gas gating& transmission,gas treatment & sweeting;
鉴于上方均希望利用各自的优势，强强联合，共同承揽并完成在澳大利亚昆士兰的煤层气项目处理设施的EPC工程总承包工作。
Whereas both parties desire to make use of their respective strengths and to undertake projects of Arrow Energy Ltd such as EPC of Coal bed gas treatment facilities in Queensland,Australia.
2. 合作范围
SCOPE OF COOPERATION
a.合作范围包括：上述项目的投标、基础设计、详细设计、项目管理、设备监造、采购、施工、安装、试运行及质保等工作。
The scope of cooperation shall be Project Tender, Basic and Detail Engineering, Project Management,Fabrication Supervision,Procurement,Construction,Installation, Commissioning and Warranty of such projects as mentioned above.
b.双方在合作期限内将组成一个联合管理委员会，由双方各委派四名代表组成。联合管理委员会行使以下职权：
In the term of operation,each party shall appoint four representatives to establish a Joint Management Committee(“JMC”).The JMC shall exercise the following powers;
(i) 收集市场信息；
To gather market intelligence
(ii) 为经批准的项目投标；
To tender for the agreed projects
(iii) 为目标项目共同决策；和
To jointly establish project objective strategies; and
(iv) 对双方无法达成一致的事项进行决定。
To decide on the matters that both parties fail to reach a consensus,
c. 联合管理委员会应由8名成员组成，其中甲方应委派4名成员。
The JMC shall comprise eight (8) members, of whom four(4) shall be appointed by PARTY .
d. 原委派方可通过向对方提前30天发出书面通知替换其向联合委员会委派的任何成员。
Any member of the JMC may be removed and replaced by the original appointing partyby giving a 30 days’ prior notice in writing to the other Party.
e. 为方便联合管理委员会管理，提高运行效率，双方委派人员中至少有1人能同时熟练使用中、英文。
For the convenience of JMC management and operational efficiency, at least one of JMCmembers of each party shall be able to use both Chinese and English proficiently.
f. 联合管理委员会应选举一名协调人。该协调人应制定联合管理委员会会议议程，并召集和主持联合管理委员会会议，如该协调人不能召集时，应委托联合管理委员会其他成员召集和主持联合管理委员会会议。
The JMC shall elect a coordinator of the JMC(Coordinator). TheCoordinator shall prepare the agenda for every JMC meeting and will convene and preside over such meetings. If the Coordinator is unable to convene the JMC meeting, he shall authorize any other member of the JMC to convene and preside over the meeting.
g. 联合管理委员会应通过联合管理会会议的规则。
The rules of the JMC meetings shall be adopted by the JMC.
h. 双方同意本协议仅规定了双方之间合作的原则，甲方和将就与每一个合作项目签署或甲方和将就每一个合作项目与业主或客户签署一份详细的项目协议。该项目协议将规定双方在具体项目上进行合作的条款和条件，包括各方所承担的职责和责任。
Both Parties agree that this Agreement only sets out the general principles of thecooperation between the Parties and a detailed project agreement will be executed between PARTY A and or between PARTY A and with the owner or Client for Coal bed gas project,and such detailed project agreement will set out the terms and conditions for both Parties to cooperate on the specific project including the duties and responsibilities each party will bear in such specific project.
3. 合作方式
MODE OF COOPERATION
a. 联合设计 Joint Design
（i）双方可针对每一个合作项目签署相关协议以确定双方的工作范围和工作量。甲方确认，其拥有完全的中华人民共和国相关资质从事本协议项下个性工程的成本与设计工作。乙方确认，其拥有完全的澳大利亚相关资质从事本协议项下各项工程的承包与设计工作。
Both parties may enter into the relevant agreement in relation to eachcooperative project so as to determine their respective work scope andmatrix.PARTY A acknowledges that it possesses the relevant PRC qualificationsto engage in the contracting and design work of each project herein.Party Backnowledges that it possesses the relevant Australian qualifications to engagein the contracting and design work of each project herein .
（ii）根据双方工作范围及工作量的划分，双方各自完成所属范围内的工作。
Both parties shall complete their own design work according to their wok scopeand workload.
（iii）根据工程项目需要，联合设计工作可以在公司总部进行，也可以在甲方本部进行，或双方书面约定的其他地点进行。
As required by the projects,the joint designing work can be conducted in theheadquarter of eitheror PARTY A or some other places agreed by bothparties in writing .
b. 联合采购 Joint Procurement
根据各自的优势，针对已承担总承包项目特点，负责从国外供应商/卖方购买设备及材料的采购工作，甲方负责在中国国内购买设备和材料的采购工作。
According to their respective advantages and the features of the projects, will be in charge of the procurement of equipment and materials from overseas suppliers/vendors and PARTY A will be in charge of the procurement of equipment and materials in China.
c. 劳务派遣. Labor Dispatch
根据已承担项目的特点和需要，双方可互为派遣相关技术或项目管理人员赴对方工作所在的执行项目的具体工作。因此而产生的相关费用将作为各项目总收入的成本并经联合管理委员会同意由双方共同承担。
Both parties may dispatch relevant technical personnel or project management staff to the work site of the other party so as to carry out the projects according to the necessity and features of the projects.Relevant expenses incurred here from shall be listed as the cost of each project and shall be borne by both parties ,as agreed by the JMC.
4. 费用分配
PAYMENT DISTRIBUTION
a. 联合管理委员会将在具体项目的基础上根据各方承担的项目工作量并综合各方的响应原始报价来确定各方应获得的收入。
The JMC shall assess the revenue that each Party will be entitled to according to theworkload and original pricing proposed by each party on job to job basis.
b. 双方将在本框架协议内共同承揽项目，针对每一个合作项目分别签订确定双方费用和收入合同。
The parties shall undertake projects with in the sphere of this frameswork agreement andshall enter into contract for each cooperation project to determine the fees,revenue and income each party is entitled to.
5．违约责任
Liability for breach of contract
本协议书已经生效各方应当认真履行，任何一方未按协议规定全面履行义务，均构成违约。违约方应当赔偿守约方因此遭受的全部损失，包括但不限于守约方因追究其违约责任或赔偿责任所产生的诉讼费、保全费、担保费、律师费等费用。
This Agreement has come into force, and the failure of either party to fully perform its obligations in accordance with the agreement shall constitute its breach of contract. The breaching party shall compensate for all the losses incurred by the observant party, including but not limited to the legal costs, preservation fees, guarantee fees, attorney fees incurred by the liability for breach of contract or compensation.
6. 权利义务转让
Assignment of rights and obligations
未得到对方的书面同意，双方的任何一方无权将本合同中规定的权利与义务转让给第三方。
Neither party shall be entitled to transfer their rights and obligations under the present Contract to any third party without the written consent of the other party.
7. 适用法律Applicable Law
本协议的一切条款，按国现行有关法令和条例执行。在本协议生效之后，由于国家颁布新的法律、法令、条例，或对原有的条款进行了修改，致使甲方或乙方的经济利益发生变化，应及时协商，并对本协议的有关条款作为必要的修正或调整，以维护各方的正常经济利益。
All terms of this agreement shall be implemented in accordance with the relevant decrees and regulations of . After this Agreement comes into force, the economic interests of new laws, decrees, regulations or the amendment of the original provisions of Party A or Party B shall be changed, which shall be timely negotiated, and the relevant provisions of this agreement shall be amended or adjusted as necessary to safeguard the normal economic interests of all parties.
8. 争议的解决Resolution of Disputes
在执行本合同的过程中所发生的争议，双方应友好协商解决，协商不成，双方同意提交
仲裁委员会申请仲裁解决。按照申请仲裁时该会现行有效的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。
7.1 Any dispute arising from or in connection to the execution of this Contract shall be settled between the two parties through friendly consultation. In case no agreement can be reached, both parties agree hereby to submit the case in dispute to Arbitration Commission for arbitration in accordance with its arbitration rules then in effect. The arbitration award will be final and binding upon both parties.
9．Notice 通知
任何一方就本协议相关事宜以快递方式发生通知的，通知在下列日期视为送达：
If either party gives notice, by express delivery, with respect to this agreement, the notice shall be deemed to be served on the following date:
任何一方的联络方式发生变更的，应在变更之日起3个工作日内书面通知其他方，在被通知方收到有关通知之前，被通知方根据变更前的联络方法所作出的联络和通讯应视为有效。
In case of a change in the contact information of either party, it shall notify the opposite party in writing within three working days from the date of the change, and that the contact and communication made by the notified party shall be deemed valid prior to the notice under the contact method before the change.
10. Miscellaneous 其他事项
本协议有效期自年月日起至年月日止。若协议合作期满，双方无异议，此协议将自动顺延生效。本协议一式二份，甲乙双方签名盖章后，各持一份。
The validity period of this contract is from ____ day ____ month _____ year to ____ day ____ month_____ year. Provided that if the cooperation period of the contract expires and the parties have no objection, the contract will be automatically postponed into effect. This contract is made in duplicate with one copy for each party upon signature and seal thereof.
